Create a board profile consistent with the Strategic Plan to ensure diversity and that the board is populated to carry out the plan
Solicit interest from potential new board members to meet the profile and to replace members lost through term expiration and attrition, and nominate them for election
Conduct annual elections
Take responsibility for board life, monitor the performance of board members, sanction members when required, and acknowledge individual contributions at appropriate times
Develop procedures and policies for the organization to meet strategic goals
